Article I: General Billing Terms

All services provided under retainer agreements shall be billed according to the terms specified in the individual retainer agreement and the general terms outlined in this document.

Section 1.1: Payment Terms

Payment for retainer services is due according to the following schedule:

  1. Monthly retainers are billed on the first business day of each month
  2. Payment is due within fifteen (15) days of invoice date
  3. Late payments may incur interest charges at the rate of 1.5% per month
  4. All payments shall be made in United States Dollars (USD)

Section 1.2: Invoicing

Invoices shall include:

  1. Detailed breakdown of services provided during the billing period
  2. Any additional services beyond the base retainer
  3. Applicable taxes and fees
  4. Payment instructions and terms

Article II: Resource Rate Structure

Section 2.1: Standard Resource Rates

The following resource categories and their associated rates apply to services not covered under base retainer arrangements:

  1. Principal Consultant: $250/hour

    • Senior leadership and strategic advisory services
    • Complex problem solving and high-level architecture
  2. Senior Consultant: $200/hour

    • Advanced technical consulting and implementation
    • Project leadership and management
  3. Consultant: $150/hour

    • Standard technical consulting and support
    • Project execution and delivery
  4. Junior Consultant: $100/hour

    • Entry-level technical support
    • Documentation and administrative support

Section 2.2: Retainer Models

Multiple retainer models are available:

  1. Block Hour Retainer: Pre-purchased hours at discounted rates
  2. Monthly Retainer: Fixed monthly fee for specified scope of services
  3. Hybrid Retainer: Combination of fixed services and flexible hours

Article III: Adjustments and Changes

Section 3.1: Rate Adjustments

Resource rates may be adjusted annually based on:

  1. Changes in market conditions
  2. Increases in operational costs
  3. Expansion of service capabilities

Clients shall receive sixty (60) days notice of any rate adjustments.

Section 3.2: Retainer Modifications

Changes to retainer scope or terms require:

  1. Written agreement from both parties
  2. Minimum thirty (30) days notice
  3. Updated statement of work or retainer agreement

Article IV: Additional Fees

Section 4.1: Out-of-Scope Services

Services not covered under the base retainer may incur additional fees at the standard resource rates specified in Section 2.1.

Section 4.2: Expenses

Reasonable and necessary expenses incurred in the provision of services, including:

  1. Travel and accommodation (when required)
  2. Software licenses or subscriptions (when specifically requested)
  3. Third-party services or tools (with prior approval)

shall be billed at cost plus a handling fee of ten percent (10%).

Article V: Termination and Refunds

Section 5.1: Retainer Termination

Either party may terminate a retainer agreement with sixty (60) days written notice.

Section 5.2: Unused Retainer Credits

For block hour retainers:

  1. Unused hours do not roll over beyond twelve (12) months
  2. No refunds for unused hours unless otherwise specified
  3. Hours may be transferred to other approved uses with mutual agreement

This document is subject to the terms and conditions of the individual retainer agreement. In case of conflict, the individual agreement shall take precedence.
